Terms of Service

These Terms of Service ("Terms") govern your use of RetentionIQ ("the Service"), operated by Excite Foundry Ltd, a company registered in England and Wales with registered office at 85 Great Portland Street, London, W1W 7LT, United Kingdom, as part of the SuperchargeMe family of products ("we", "us", "our"). By accessing or using the Service at retention-iq.com, you agree to be bound by these Terms.

1. Service description

RetentionIQ is an analytics and operations platform for customer retention and lifecycle marketing. The Service helps you predict churn and lifetime value, build segments and audiences, draft copy and campaigns, and propose retention actions for your approval, through integrations with the email, SMS, and commerce platforms you connect (such as Klaviyo and Shopify).

2. Account registration

To use RetentionIQ, you must create an account using a supported sign-in method. You agree to:

• Provide accurate and complete information.
• Keep your account credentials secure.
• Notify us immediately of any unauthorized access.
• Accept responsibility for all activity under your account.
• Only connect accounts that you are authorized to access.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are accessing third-party platforms without authorization.

3. Acceptable use

You agree not to use the Service to:

• Send, manage, or analyze communications that are unlawful, deceptive, or that promote illegal products or services.
• Send messages to recipients who have not provided the consent required by applicable law (e.g. GDPR, PECR, CAN-SPAM, TCPA), or violate the policies of any platform you connect.
• Connect accounts you do not own or are not authorized to manage.
• Reverse-engineer, decompile, or extract source code from the Service.
• Interfere with or disrupt the Service's infrastructure.
• Share your account access with unauthorized parties.
• Scrape or systematically extract data from the Service except via documented export features.
• Violate any applicable laws or regulations.

4. Connected accounts and authorization

The Service operates by connecting to your accounts on third-party platforms. By connecting an account, you represent that you are authorized to grant the requested permissions, that you have the necessary rights to allow us to read data and (where you explicitly approve it) write changes to those accounts, and that you will comply with the connected platform's terms.

You may revoke our access to any connected account at any time. Revocation will stop further data syncs but does not retroactively affect data lawfully processed before revocation.

5. Approvals and execution

RetentionIQ is an approve-to-execute system. It proposes changes — it does not send messages or modify your connected accounts on its own. No change is written to a connected platform until you have reviewed a preview and explicitly approved it. Every approved change is recorded in an audit log and is reversible. You are solely responsible for the changes you choose to approve and for ensuring they comply with applicable law and platform policies.

6. Intellectual property

Your content and data

You retain full ownership of all data ingested into the Service, including campaign data, subscriber and customer data, creative assets, and any content you upload. We claim no ownership over your content.

Our platform

The Service's software, design, branding, models we develop, scoring and prediction algorithms, and underlying technology are owned by Excite Foundry Ltd. These Terms do not grant you any rights to our intellectual property beyond the limited license to use the Service.

License to operate

By using the Service, you grant us a limited, non-exclusive, non-transferable license to process, store, transmit, and display your data as necessary to provide the Service and to generate Service outputs. This license terminates when you delete your account, subject to the retention windows described in our Privacy Policy.

Service outputs

You may use Service outputs (analytics, predictions, recommendations, generated content) for any purpose related to operating your business. We do not claim copyright over outputs generated specifically from your data.

7. Third-party integrations

RetentionIQ connects to third-party services (such as Klaviyo and Shopify) to provide its functionality. Your use of these integrations is also subject to the respective third party's terms of service. We are not responsible for the availability, performance, or actions of third-party services, including outages, rate-limit changes, deprecation of APIs, or policy changes that affect Service functionality. A current list of sub-processors is set out in our Privacy Policy; we will provide reasonable notice of any material change to that list.

8. AI-generated content and recommendations

RetentionIQ uses artificial intelligence to assist with prediction, segmentation, copy and subject-line generation, scoring, and recommendations. While we strive for high-quality output, you acknowledge that:

• AI-generated outputs require human review before action — and the Service enforces this by requiring your approval before anything is sent.
• You are responsible for reviewing all proposed changes before approving them.
• We do not guarantee the accuracy, completeness, or suitability of AI-generated outputs.
• Past performance does not guarantee future results; recommendations are advisory only.
• You accept full responsibility for any changes you choose to approve and execute.

9. Pricing and payment

RetentionIQ may offer free, trial, and paid tiers. Pricing, features, and usage limits for each tier are described on the Service's pricing page or in your subscription agreement. We reserve the right to modify pricing with at least 30 days' notice to existing subscribers. Failure to pay may result in account suspension after a reasonable cure period.

10. Limitation of liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
• We do not warrant that the Service will be uninterrupted, error-free, or secure, or that recommendations will achieve any particular outcome.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including loss of revenue, profits, customers, goodwill, or data.
• Our total liability for any claims related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
• Nothing in these Terms limits or excludes liability for fraud, gross negligence, death or personal injury caused by negligence, or any other liability that cannot be limited or excluded under applicable law.

11. Indemnification

You agree to indemnify and hold harmless Excite Foundry Ltd, SuperchargeMe, and our officers, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your content, the messages you approve and send, your violation of these Terms, or your violation of any third-party platform's terms of service or applicable marketing law.

12. Termination

You may terminate your account at any time through your account settings or by emailing hello@retention-iq.com. We may terminate or suspend your account if you violate these Terms, with or without notice depending on the severity.

Upon termination, your right to use the Service ceases. We will retain your data for 30 days after termination to allow you to export it, after which it will be permanently deleted from active systems (except where retention is required by law), with residual backups expiring on our standard schedule.

13. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 14 days before they take effect. Continued use after changes take effect constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict of law provisions. Subject to applicable consumer-protection law, the courts of England and Wales shall have exclusive jurisdiction to settle any disputes arising under or in connection with these Terms.
